DEFINITION OF TERMS

Employer Public Works AuthorityGovernment of the State of Qatar

Firm A single company that has the financial ability and experience to undertake the whole of thecivil engineering works and mechanical and electrical works without partners. TheContract is between the Employer and the Firm.

Joint Venture A company (either new or existing) formed by a group of companies to execute the project.Each partner of the joint venture takes joint and several liability with respect to theContract. The Contract is between the Employer and the Joint Venture.

A typical Joint Venture would comprise of a General Civil Engineering Contractor responsiblefor the construction of the tunnel works and a Plant & Equipment supplier responsible forthe design and supply of tunnel excavation machine.

(3) The Abu Hamour Southern Outfall Scheme is proposed to provide main trunk surface water drainage for the majorityof the southern half of Doha covering an area of approximately 170 km 2. The scheme will incorporate theconstruction of a 9.5 km tunnel, 3.7m in internal, finished diameter, a coastal pumping station and sea outfallpipeline. The maximum flow in the tunnel is estimated to be 16.5 cu. m. per second.

(4) This pre-qualification is for the tunnel element of the scheme only.

(5) The main tunnel will run from Musaimeer St along the line of the proposed F-Ring Road to a Coastal PumpingStation located within the New Doha International Airport. The Works will also incorporate 23 No. access shafts andshort adit tunnels.

(6) A second tunnel will also be constructed, to collect surface water from Pumping Station SW5, this tunnel will besome 580m. long and 2.4m. in diameter.

(7) The Works are to be constructed under a four (4) year Contract. Tender invitations will be expected to be issued inApril 2011.

INSTRUCTIONS TO APPLICANTS

1. General

1.1 The Employer intends prequalifying firms and joint ventures to tender for the contract outlined in thePre-qualification Data.

1.2 The tendering schedule is outlined in Part 2 of the Pre-qualification Data.

2. Eligibility and Qualification Criteria

2.1 Pre-qualification is open to firms and joint ventures from any country or countries.

2.2 Pre-qualification will be based on a pass/fail assessment of the applicant's general and particularexperience, technology offered, capabilities of personnel, and financial position, specified in the Pre-qualification Data, as demonstrated by the applicant's responses in the forms attached to the Letter ofApplication and other requested documentation. Specific requirements for joint ventures are also setforth in the Pre-qualification Data. The Employer reserves the right to waive minor deviations from the

criteria, if they do not materially affect the capability of an applicant to perform the contract. Applicantspassing the pre-qualification requirements shall be invited to proceed to tender.

2.3 No affiliate of the Employer shall be eligible to tender or participate in a tender in any capacitywhatsoever.

3. Preparation and Submission of Applications

3.1 If specified in the Pre-qualification Data, a clarification meeting and/or site visit will be held at the time,date and place specified. Prospective applicants may request in writing clarification of the projectrequirements and the criteria for qualification at any time up to 10 days prior to the deadline set for thesubmission of applications. The written responses will be sent to all prospective applicants that havereceived the pre-qualification documents (including the query but without identifying the source).

3.2 All information requested for pre-qualification shall be provided in the language specified in the Pre-qualification Data. Where information is provided in another language it shall be accompanied by atranslation into the language of the pre-qualification documents. This translation will govern and beused for interpreting the information. Information should be submitted in the formats specified in theapplication forms in these pre-qualification documents.

3.3 The application for pre-qualification shall consist of the stamped original and two (2) copies of thefollowing:

(a) the Letter of Application(b) the forms, documentation and references specified in the Pre-qualification Data.

3.4 Failure to provide information which is essential to evaluate the applicant's qualifications or to provide

timely clarification or substantiation of the information supplied may result in disqualification of theapplicant.

3.5 Submission of applications for pre-qualification must be received in sealed envelopes, which shall bedelivered either by hand or by registered mail, to the address specified in the Pre-qualification Data onthe date specified in thePre-qualification Data, and shall bear the identification specified in the Pre-qualification Data. The Employer reserves the right to accept or reject late applications, withoutassigning any reason thereof.

3.6 Submission of documentation other than the above will not be considered and will count against theapplicant. Submissions that are not clear or contain significant errors will also be marked down,

accordingly.

3.7 The name and mailing address of the applicant shall be clearly marked on the envelope.

4. Pre-qualification and Tendering

4.1 The Employer reserves the right to:

(a) amend the scope and value of any contract(s) to be tendered, in which event only thoseprequalified applicants who meet the amended requirements will be invited to tender for thecontract(s).

(b) reject or accept any application; and

(c) cancel the pre-qualification process and reject all applications.

The Employer shall neither be liable nor be under any obligation to inform the applicant of the groundsfor such action.

4.2 Applicants will be advised in writing by facsimile, within the period specified in the Pre-qualificationData, of the result of their application and of the names of the prequalified applicants, without giving

any reason for the Employer's decision.

4.3 Only firms and joint ventures that have been prequalified under this procedure will be invited to tender.Firms can only apply to prequalify either individually or as members of a single joint venture.Submission or participation by a firm in more than one Pre-qualification application will result in thedisqualification of the application in which the party is involved. A prequalified firm or a partner of aprequalified joint venture may participate as a tenderer in only one tender, either individually or as apartner in a joint venture, for the contract. Submission or participation by a tenderer in more than onetender for a contract (other than alternatives which have been permitted or requested) will result in thedisqualification of all tenders for that contract in which the party is involved. However, this does notlimit the inclusion of the same subcontractor in more than one tender.

4.4 At the time of submitting their tenders, prequalified tenderers shall update the relevant informationused for pre-qualification to confirm that they continue to comply with the qualification criteria andverify that the information previously provided is still valid and correct. A tenderer shall be disqualifiedif it no longer meets the qualification requirements at the time of contract award.

4.5 Joint ventures must comply with the following requirements:

a) Joint ventures that wish to pre-qualify shall provide a letter of intent from each of the partners ofthe joint venture confirming their intention to take part in the tender should the joint venture beinvited to tender.

b) The formation of a joint venture after pre-qualification, and any change in a pre-qualified jointventure, will be subject to the written approval of the Employer prior to the deadline forsubmission of tenders. Such approval may be denied if (i) partners withdraw from a joint ventureand the remaining partners do not meet the qualifying requirements; (ii) the level of participation

by partners or the structure of the joint venture is substantially changed; (iii) the new jointventure is not qualified; or (iv) in the opinion of the Employer, a substantial reduction incompetition may result.

c) Any tender shall be signed so as to legally bind all joint venture partners, jointly and severally,and any tender shall be submitted with a copy of the joint venture agreement providing for jointand several liability with respect to the contract.

4.6 The pre-qualification of a joint venture does not prequalify any of its partners individually or as apartner in any other joint venture or association. In case of dissolution of a joint venture, each of theconstituent firms may prequalify if they meet all the pre-qualification requirements, subject to the

written approval of the Employer prior to the deadline for submission of tenders.

4.7 Prequalified tenderers will be required to provide a tender bond as outlined in the Pre-qualificationData. The successful tenderer will be required to provide a performance bond. Details of this bond

will be specified in the tender documents.

5.0 Acknowledgement of Intention to Pre-Qualify

5.1 Firms or Joint Ventures that intend to submit a Pre-qualification Application shall confirm their intentionby fax to the Manager of Contracts Department. Any subsequent information or clarification to thePre-qualification Document will only be sent to registered firms or joint ventures. In addition the fax

Project Description

The southern areas of Greater Doha have expanded and developed rapidly in recent times andas a consequence there has been a requirement for increase in the capacity of the drainagesystem to accommodate additional surface water runoff. The Public Works Authority,Infrastructure Affairs have undertaken several studies and implemented major schemes to

develop an integrated system of surface water drainage throughout Doha.The Abu Hamour Southern Outfall Scheme is proposed to provide main trunk surface waterdrainage for the majority of the southern half of Doha covering an area of approximately 170 km 2.

The Abu Hamour Southern Outfall incorporates the construction of a tunnel that will run fromMusaimeer St. , along the line of the proposed F-Ring Road at an average depth of approximately25m, to the site of a coastal pumping station located within the New Doha International Airport.

The Construction works shall include

3.7 m ID Tunnel, segment lined tunnel, 7.0 km long

18 No, Shafts variously for access/ maintenance/sewer connection.

3 No, 4.0m ID Sewer Connection shafts.

5 No, 5.0m ID Maintenance shafts.

Option to extend 3.7m ID Tunnel by a further 2.5 km including 5 No additionalshafts.

1.3 Tendering Schedule

The proposed tendering schedule will be expected as follows:

1.4 Type of Contract

The Form of Contract shall be based on the General Conditions of Contract prepared by the

Public Works Authority PO Box 22188, Doha, The State of Qatar, dated May 2007.

A copy of the General Conditions of Contract will be included within the tender documents.

The General Conditions will be supplemented by Conditions of Particular Application (Part 2)specific to Civil Project 671R/1.

1.5 Contract Submissions

The tender will comprise a Technical Submission and a separate Financial Submission.

The Technical Submission will include completed pro-forma sheets, drawings, preliminary method

statements and temporary works design and a programme. Prequalifying firms or JVs mustexpect to undertake and submit significant preliminary method statements and drawings includingmajor plant, materials and resourcing schedules to demonstrate that they have fully consideredall aspects of the requirements of the contract and that their tender is robust.

The Financial Submission will include fully priced Bills of Quantities including the requirement forthe tenderer to insert specific Method Related Charges.

2.1 Qualification Criteria

To be prequalified an applicant must demonstrate to the Employer that it substantially satisfies the

requirements regarding experience, personnel, financial position and litigation history, specifiedbelow:

2.1.1 General Experience

The applicant shall meet the following minimum criteria:

(a) Average annual turnover as prime contractor (defined as billing for works in progress andcompleted) over the last five years of Qatar Riyals 1,500,000,000 equivalent.

(b) Minimum 10 years as a prime Civil Engineering Contractor in the construction ofunderground structures.

(c) Tunnel construction projects by Closed Face Type Shield TBM (Tunnel Boring Machine)method (Slurry or EPB), in rock., and or by pipejacking Minimum four (4) projects

(d) Experience in the management of the procurement and production of precast concreteelements, this can include management of Sub-Contractors for the supply of precast units. Minimum three (3) projects.

(e) Experience of operating TBMs in varying ground conditions including inflowinggroundwater. Minimum two (2) projects

(f) Shaft sinking and construction to depths exceeding 20m. - Minimum five (5) projects

(g) Underground excavation with Sprayed Concrete Lining (SCL) with shotcrete and rockboltsupporting systems. Minimum two (2) projects

(h) Experience in excavation & earthworks construction where groundwater inflow hasoccurred requiring dewatering Minimum four (4) projects

(j) Successful experience completing a minimum of five (5) civil engineering tunnellingprojects each of minimum value Qatar Riyals 500,000,000 in the last ten years.Testimonial statements or Certificates of Satisfactory Completion must be appended for thefive (5) projects referenced.

(k) Execution of at least two (2) projects over Qatar Riyals 300,000,000 or equivalent value inthe Middle East region in the last five years

2.1.2 Personnel Capabilities.

The applicant shall provide suitably qualified personnel to fill the following positions. For eachposition the applicant will supply information (in Form 5) on a first choice candidate and an

alternate, each of whom should meet the experience requirements specified below:

2.1.3 Financial Position.

The applicant shall demonstrate by means of bank or other financial references that it has accessto, or has available, liquid assets, unencumbered real assets, lines of credit, and other financialmeans sufficient to meet the construction cash flow for the contract for a period of five months,estimated and not less than Qatari Riyals 50,000,000 equivalent, taking into account theapplicant's commitments for other contracts. There will be an advance payment of 10% of thecontract value.

The audited balance sheets for the last five years shall be submitted and must demonstrate thesoundness of the applicant's financial position, showing long-term profitability. Where necessary,the Employer will make inquiries with the applicant's bankers.

2.1.4 Litigation History.

The applicant shall provide accurate information on any current or past litigation or arbitrationresulting from contracts completed or under execution by him over the last five years. Aconsistent history of awards against the applicant or any partner of a joint venture may result infailure of the application.
