O nico problema que observei vem da sua licena de uso. Alm de extremamente grande, est emingls e contm termos que alm de trazer confuso ao usurio, limita sua aplicao.

O objetivo do usurio o de poder exibir uma simples informao de tempo, ao que talvez estalicena de uso acabe dificultando.

1. Licenses.(A) Subject to the terms and conditions of this Agreement, The Weather Channel Interactive, Inc.("we" or "us") grants to you during the Term of this Agreement, and you accept, a non-exclusive,non-transferable, worldwide, fully paid up, royalty free right (without any right to sublicense) toexhibit and display, solely on your World Wide Web site at the URL specified by you (the "Site"),the "Weather On Your Website Module" (the "Content") selected by you.

(B) The rights granted to you are subject to the following:

* You may not use the Content except as we have agreed in this Agreement and you are expresslyprohibited from using the Content in any other manner, including, without limitation, from usingthe Content in connection with, any broadcast television, interactive television, cable television(including local, national, and regional), telephone and DSL television services, digital cableservices, IPTV, RSS feed, head-end-in-the-sky satellite systems, radio, print publications, digitalbroadcast satellites, telematics (optimizing technology to deliver data that is relevant to transitorylocations), teletext (data displayed in text or graphics on a television set), video-on-demand (a lacarte and subscription services), wire-line telephone, or as all or part of any streaming video or

audio content or for video delivery by any means. You are further prohibited, without limitation,from using the Content to create weather and weather-related products to be displayed on ahandheld or other wireless devices (including but not limited to telephones, voice-over-IP devices,paging systems and personal digital assistants).

* You must exhibit and display the Content on your Site in its entirety (without any alteration ordeletion), including all credits, copyright notices, trademarks, service marks, trade names and logoswhich are contained on or in the Content provided to you (our "Marks"), without interruption duringthe Term. You will not omit, vary or otherwise change any of our Marks, including withoutlimitation, the size, color, location or style of our Marks;

* You may not edit, alter, modify, delete, or prepare any derivative works of the Content;

* You may not imply, directly or indirectly, including by using the Content together with contentprovided by you or others, that we provide, endorse, sponsor, certify or approve of other contentincluded within the Site or any products or services advertised in or near the Content;

* You may not resell, sublicense, retransmit or otherwise distribute any of the Content in its raw orunaltered form or format;

* You may not exhibit or display near or adjacent to the Content or our Marks any content(including advertising and/or sponsorships) that is offensive to a significant portion of society;

contains sexual, violent or criminal content; promotes tobacco use, alcohol use, gambling (notincluding government lotteries and similar government-sponsored activities), "get-rich-quick" orsimilar schemes; firearms, ammunition or fireworks; violates TWCi policies; or is false ormisleading or otherwise violates any civil or criminal law;

* We will have the right to review and approve the manner in which the Content is displayed on theSite.

2. Term. This Agreement will begin when you click the "Accept" button (the "Effective Date") andwill continue until one of us terminates this Agreement as provided in Paragraph 8.

3. Fees and Advertising. We will accept, instead of a monetary fee, payment in the form of the linksto the weather.com website that are contained in the Content. We may also sell advertising thatwill be included with the Content, and we will be entitled to keep all advertising revenue received

by us. You will retain 100% of revenues from advertising sold by you that appears on your Site;provided that, all advertising that appears in connection with the Content on your Site must bebundled with advertising that is displayed on other areas on the Site and sold as "run of site"advertising and must not be sold separately for placement with the Content or targeted specificallyto weather or weather-related content. You shall not create, market or sell advertising orsponsorships that are targeted to or tied to the Content or to any weather or weather related content,or that permit any other Person to provide advertising or sponsorships that are targeted or tied to theContent or any weather or weather related content, including, without limitation any advertisingtriggered by weather or weather related content. You must use any means available to block orexclude the ads of Competing Weather Services from appearing on the pages of the Site containingour Content. For purposes of this Agreement, a "Competing Weather Service" means any partywhose primary line of business consists of the production, distribution or display of weather orweather related information. For purposes of this Agreement, a "Person" shall mean any individual,partnership, corporation, business unit, limited liability company, limited liability partnership, jointstock company, trust, unincorporated association, joint venture or other entity.

4. Ownership.

(A) You understand and agree that, as between us and you, we are the sole owner of all right, titleand interest in and to the Content, including all copyrights therein, and our Marks. All uses of theMarks shall inure to our benefit. Once this Agreement has been terminated, you will delete from theSite and discontinue use of the Marks. You disclaim any right, title or interest in or to the Marksand will not take any action to create a unitary composite mark. You agree not to do anythingcontesting or impairing our rights in and to the Marks.

(B) You transfer, convey and assign to us, and agree to cause your officers, directors, employeesand agents to transfer, convey and assign to us, all right, title and interest in or to any and allintellectual property in which you acquire an interest which, under this Agreement, is owned by us.You also agree to execute and to cause your officers, directors, employees and agents to execute

any documents that we may request for the purpose of evidencing, enforcing, registering ordefending our ownership of that intellectual property.

5. Indemnification. You will defend, indemnify and hold harmless us and our affiliates against anyclaim, suit, demand, cause of action, loss, expense, cost or damage (including attorneys' fees)arising out of any claim by third parties relating to the Site including any claim by a third party oryou with respect to advertising sold by you.

6. No Warranty. THE CONTENT AND ALL INFORMATION AND FORECASTS INCLUDEDWITHIN THE CONTENT ARE PROVIDED "AS IS". WE MAKE NO REPRESENTATION ORWARRANTY OF ANY KIND, NATURE OR DESCRIPTION, EXPRESS OR IMPLIED, WITH

RESPECT TO THE CONTENT, INCLUDING, WITHOUT LIMITATION, ANY WARRANTYOF ANY KIND OR NATURE WITH RESPECT TO THE ACCURACY OF THE CONTENT,ANY WARRANTY THAT THE CONTENT IS ERROR FREE OR ANY IMPLIED WARRANTYOF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR ANY IMPLIEDWARRANTIES ARISING FROM A COURSE OF DEALING OR A COURSE OFPERFORMANCE, AND WE HEREBY EXPRESSLY DISCLAIM THE SAME. WESPECIFICALLY DISCLAIM ANY REPRESENTATION OR WARRANTY REGARDING THEAVAILABILITY, ACCURACY OR RELIABILITY OF OUR CONTENT, DATA, WEBSITE,SERVICE OR ANY WEATHER FORECAST OR REPORT CONTAINED THEREIN.

7. LIMITATION OF LIABILITY.(A) YOU EXPRESSLY UNDERSTAND AND AGREE THAT NEITHER WE NOR OURSUPPLIERS SHALL BE LIABLE, UNDER ANY LEGAL THEORY, INCLUDING CONTRACT,TORT, NEGLIGENCE OR STRICT LIABILITY, FOR ANY DIRECT, INDIRECT,

INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES,INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL,USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OFTHE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM OR ARISING OUT OF: (i)YOUR USE OR YOUR INABILITY TO USE THE CONTENT (ii) THE COST OFPROCUREMENT OF SUBSTITUTE CONTENT RESULTING FROM ANY DATA,INFORMATION OR SERVICES OBTAINED THROUGH OR FROM THE CONTENT; (iii)UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;(iv) THIS AGREEMENT; OR (v) ANY OTHER MATTER RELATING TO THE CONTENT.YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH US RELATED TOTHIS AGREEMENT OR THE CONTENT SHALL BE REMOVAL OF THE CONTENT FROMYOUR SITE. IF A COURT AWARDS DIRECT DAMAGES DESPITE THE FOREGOING,SUCH DAMAGES SHALL NOT EXCEED THE LESSER OF $5.00 OR ANY AMOUNT YOUPAID TO US UNDER THIS AGREEMENT.

(B) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAINWARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL

OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVELIMITATIONS OF SECTIONS 6 AND 7 MAY NOT APPLY TO YOU.

8. Termination.(A) Either we or you may terminate this Agreement upon written notice to the other party upon thehappening of any of the following events: (i) on ten (10) business days notice at any time; (ii)immediately, if the other party materially breaches this Agreement; or (iii) immediately, if a petitionfor relief under any bankruptcy legislation is filed by or against the other party or the other partymakes an assignment for the benefit of creditors or receiver is appointed for all or substantially allof the other party's assets.

(B) We may immediately terminate this Agreement upon written notice to you if you merge with orinto, consolidate with, sell more than 50% of your assets or ownership interest to, or purchase morethan 50% of the assets of, or ownership interest in, a Competing Weather Service.

(C) The provisions of Paragraphs 4, 5, 6, 7, 8, 11, 13, 14 and 16 will survive the termination of thisAgreement.

9. Assignment. You may not assign this Agreement without our prior written consent.

10. Promotion. You shall not make any public announcement regarding the existence or content ofthis Agreement without our prior written approval and consent. You agree that you shall not acquire

any right to use and shall not use, our name, our Marks, or our subsidiary, related or affiliatedcompany names or Marks (either alone or in conjunction with or as part of any other word or name)or any fanciful characters, or designs of any related, affiliated or subsidiary companies in anyadvertising, publicity, promotion, press release or customer list unless the text of such release hasbeen approved in advance by us.

11. Notices. All notices to us hereunder must be in writing and mailed by certified mail, returnreceipt requested, or by prepaid courier service, addressed to EVP & GM, The Weather ChannelInteractive, Inc., 300 Interstate North Parkway, Atlanta, GA 30339-2403, with a copy to ourGeneral Counsel at the same address. All notices to you hereunder must be in writing to yourphysical address provided by you in registering with us or your electronic mail address provided byyou in registering with us, unless otherwise designated by the parties.

12. Independent Contractors. This Agreement is intended solely as a license agreement, and nopartnership, joint venture, employment, agency, franchise, or other form of agreement orrelationship is intended.

13. Governing Law. The validity and effect of this Agreement will be governed by and construedand enforced in accordance with the laws of the State of Georgia without regard to its rules ofconflicts of law. All claims relating to this Agreement will be resolved in the state courts located inCobb County, Georgia or federal courts located in Atlanta, Georgia. Each party consents to theexclusive jurisdiction of the courts stated in this section and hereby waives any jurisdictional orvenue defenses otherwise available to it.

14. Miscellaneous. This Agreement contains the entire agreement between the parties relating to thesubject matter hereof. This Agreement cannot be modified or terminated orally, and nomodifications to this Agreement will be binding unless in writing and duly executed by both parties.If any provision of this Agreement is found invalid or unenforceable pursuant to judicial decree ordecision, the remainder of this Agreement will remain valid and enforceable according to its terms.The parties intend that the provisions of this Agreement be enforced to the fullest extent permitted

by applicable law. Accordingly, the parties agree that if any provisions are deemed not enforceable,they will be deemed modified to the extent necessary to make them enforceable. We shall not beliable for any delay or failure in performance under this Agreement or interruption of serviceresulting from acts of God, civil or military authority, war, labor disputes, materials provided bythird parties, or any cause beyond our reasonable control. Any waiver must be in writing and signedby the party whose rights are being waived. No waiver by us of any provision hereof shall constitutea continuing waiver or a waiver of any subsequent breach thereof or of any other provision of thisAgreement.

15. Amendment. We may, in our sole discretion, change, modify, add or remove portions of thislicense, or the Content at any time. We may notify you of any such changes by posting notice of

such changes on our website www.weather.com or sending notice via e-mail, postal mail or othermeans. Your continued use of the Content following notice of such change shall be deemed to beyour acceptance of any such modification. If you do not agree to any such modification, you mustimmediately stop using the Content.

16. Export Controls. The content and any underlying technology may not be exported outside theUnited States in a manner that is prohibited by applicable export laws and regulations. Bydownloading or using the Content outside the United States of America, you assume responsibilityfor compliance with the foregoing.
