REALIZADA EM 08 DE OUTUBRO DE 2020.

1. DATA, HORA E LOCAL: Aos 08 de outubro de 2020, às 11h00min, de forma

exclusivamente digital, nos termos da Instrução CVM nº 625, de 14 de maio de 2020,

coordenada pela TRUE SECURITIZADORA S.A. (“Emissora” ou “Securitizadora”), com

sede na Cidade de São Paulo, Estado de São Paulo, na Avenida Santo Amaro, nº 48, 1º andar,

conjunto 12, Vila Nova Conceição, CEP 04506-000.

2. CONVOCAÇÃO: O edital de segunda convocação foi publicado nos dias 24, 25 e

28 de setembro de 2020, no jornal Valor Econômico, nos termos da Cláusula 14.2, do Termo

de Securitização de Direitos Creditórios dos Certificados de Recebíveis do Agronegócio

(“CRA”) da 09ª Emissão, em Série Única, da Securitizadora (“Termo de Securitização” e

“Emissão”, respectivamente).

3. PRESENÇA: Presentes os representantes (i) de 27,60% (vinte e sete vírgula sessenta

por cento) dos titulares dos CRA em circulação da Emissão (“Titulares dos CRA”); (ii) da

SLW CORRETORA DE VALORES E CÂMBIO LTDA., sociedade limitada, com sede

na Cidade de São Paulo, Estado de São Paulo, na Rua Doutor Renato Paes de Barros, nº 717,

10º andar, Itaim Bibi, CEP 04530-001, inscrita no CNPJ/ME sob o nº 50.657.675/0001-86,

na qualidade de agente fiduciário da Emissão (“Agente Fiduciário” ou “SLW”); e (iii) da

Emissora.

4. MESA: Presidente: Bruno Ricardo Mancini Rovella. Secretário: Gabriel Takashi

Maeda.

5. ORDEM DO DIA: Deliberar sobre:

(i) aprovar que o Imóvel Hipotecado (conforme definido no Termo de Securitização) seja

hipotecado pela Devedora em favor da Emissora, em garantia ao cumprimento das

obrigações garantidas no âmbito da emissão dos CRA da 11ª emissão, em série única, da

Emissora ("11ª Emissão" e, quando em conjunto com 09ª Emissão, denominadas

"Emissões"), de modo que haja o compartilhamento de garantia entre as Emissões;

(ii) aprovar a substituição do Agente Fiduciário pela PLANNER CORRETORA DE

VALORES S.A., instituição financeira com sede na Cidade de São Paulo, Estado de São

Paulo, na Avenida Brigadeiro Faria Lima, nº 3.900, 10º andar, Itaim Bibi, CEP 04538-132,

inscrita no CNPJ/ME sob o nº 00.806.535/0001-54 (“Novo Agente Fiduciário” ou

“Planner”); e

(iii) caso sejam aprovados os itens “i” e “ii” acima, autorizar que a Emissora, o Agente

Fiduciário e a Devedora tomem as providências cabíveis à implementação das matérias

supracitadas, incluindo a formalização, às exclusivas expensas da Devedora, dos

aditamentos necessários aos Documentos da Operação.

6. DELIBERAÇÕES: instalada a assembleia, os representantes de 27,60% (vinte e

sete vírgula sessenta por cento) dos Titulares dos CRA em circulação da Emissão, por

unanimidade e sem quaisquer ressalvas, deliberaram por:

(i) aprovar que o Imóvel Hipotecado (conforme definido no Termo de Securitização) seja

hipotecado pela Devedora em favor da Emissora, em garantia ao cumprimento das

obrigações garantidas no âmbito da emissão dos CRA da 11ª Emissão, de modo que haja o

compartilhamento de garantia entre as Emissões;

(ii) aprovar a substituição do Agente Fiduciário pela Planner; e

(iii) autorizar que a Emissora, o Agente Fiduciário e a Devedora tomem as providências

cabíveis à implementação das matérias supracitadas, incluindo a formalização, às exclusivas

expensas da Devedora, dos aditamentos necessários aos Documentos da Operação.

6.1. Em virtude das deliberações acima e independentemente de quaisquer outras

disposições nos documentos da Emissão, os Titulares dos CRA, neste ato, eximem a

Emissora e o Agente Fiduciário de qualquer responsabilidade em relação ao quanto

deliberado nesta assembleia.

6.2. Os termos utilizados nesta assembleia que não estiverem aqui definidos têm o

significado que lhes foi atribuído nos Documentos da Operação.

6.3. Os presentes autorizam a Emissora a encaminhar à Comissão de Valores Mobiliários

a presente ata em forma sumária, sendo dispensada, neste ato, sua publicação em jornal de

grande circulação.

7. ENCERRAMENTO: Nada mais havendo a tratar, e como ninguém mais desejou

fazer uso da palavra, a assembleia foi encerrada com a lavratura desta ata que, após lida e

aprovada, foi por todos assinada de forma eletrônica, em atenção ao disposto no item 1 acima.

From time to time, TRUE SECURITIZADORA S.A. (we, us or Company) may be required by

law to provide to you certain written notices or disclosures. Described below are the terms and

conditions for providing to you such notices and disclosures electronically through the DocuSign

system. Please read the information below carefully and thoroughly, and if you can access this

information electronically to your satisfaction and agree to this Electronic Record and Signature

Disclosure (ERSD), please confirm your agreement by selecting the check-box next to ‘I agree to

use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign

Getting paper copies

At any time, you may request from us a paper copy of any record provided or made available

electronically to you by us. You will have the ability to download and print documents we send
